With a client base which spans the United States, England, and the Caribbean, Thomas V. Eagan focuses his practice on real estate and development matters including the acquisition or sale of real property, land use and development law, construction law, condominium and multi-residential planning, including registration of condominium documentation, commercial leasing, development of hotel and hospitality facilities, development of power generation facilities, as well as waste-to-energy facilities, development of rum distilleries, mortgage lending, and opportunity zone planning and implementation. His clients include commercial and residential developers, money center banks, life insurance companies, municipalities, and family offices. Mr. Eagan also serves as special counsel to the City of Miami Beach in connection with real estate development issues, and advises foreign investors in connection with domestic real estate investments. He has appeared before municipal boards and commissions, made presentations to city and county legislative councils, and has appeared before a number of departments and governmental agencies in the U.S. Virgin Islands.

Mr. Eagan is one of the founders of the University of Miami Institute on Condominium and Cluster Housing, and was a member of the Board of Trustees. He is also a board member of the Real Property Institute and has been recognized as past co-editor of Florida Real Estate Transactions (Boyer). Mr. Eagan has garnered a number of professional recognitions, including the highest rating (AV) by Martindale Hubbell Law Directory, inclusion (2005) in the Best Lawyers in America, inclusion (2007) in Florida Super Lawyers (a distinction honoring the top 5 percent of lawyers in the state) and in 2009, he was listed in The Legal 500 US.

Mr. Eagan has served on the Board of Trustees for the Carrollton School of the Sacred Heart (the Convent of the Sacred Heart), an exclusive Catholic girl’s school located in Miami, Florida, where he orchestrated the acquisition and financing of its north campus. He has also served on the Board of Trustees for Christopher Columbus Catholic High School, and as special counsel to Belen Jesuit Preparatory School, located in Miami, Florida, both highly regarded all boys prep schools in Miami-Dade County. He founded and serves on the Board of Directors of the Workforce Housing Foundation which locates, structures and develops workforce housing in South Florida.

He is a member of The Florida Bar’s Section on Real Property, Probate and Trust Law, as well as a member of the Dade County Bar Association. Out of the office, he occupies himself with a number of pro-bono activities, many revolving around his duties as an ordained deacon in the Roman Catholic Church and as an advocate appearing before the Tribunal for the Archdiocese of Miami. In his younger years he organized and ran a little league baseball program in South Dade.

REPRESENTATIVE EXPERIENCE

Represented a developer/investor in connection with the redevelopment of a 1,244 acre industrial site, which includes a harbor, port facility, desalinization plant and electricity generation facility, located on the island of St. Croix, United States Virgin Islands, including the negotiation of leases for a significant rum distillery, as well as preparation of the response to the Virgin Islands Water and Power Authority’s RFP regarding a power purchase agreement, and the construction of a power generation facility on this site.
Represents a developer in connection with $98.5 million sale of a world-famous resort located in Islamorada, Florida, and represents this client in connection with the structuring and drafting of on-site marina condominium documentation.
Represents a developer/investor in connection with the purchase of a $989 million real estate portfolio consisting of 43 office, commercial and apartment developments in Florida, Tennessee, Colorado, Texas, Oklahoma and Georgia and assisted the client in the disposition of a number of those properties.
Represents a national developer in the structuring, drafting, and Florida state and HUD registration of luxury high rise buildings as well as the negotiation of a long-term option agreement for 650 acres located in Broward County, Florida, and the annual closings in connection with the exercise of the option.
Represents a developer in connection with the structuring and drafting of luxury high rise condominium documentation for a 447 residential units and six commercial units located in Miami, and the state and federal registration of the offering.
Represents a developer in connection with the conversion of its Broward County, Florida apartment building portfolio to condominium ownership, including the structuring and planning associated with these transactions, the drafting of condominium documentation, the registration of these offerings with the Florida Department of Business and Professional Regulation, and the marketing and closing of the condominium units.
Represented a world-famous boxing promoter in connection with the redevelopment and sale of a Jai-Alai Fronton located in Palm Beach County, Florida.
Represents a family office in connection with its domestic and international trusts, and investment matters.
Represents a developer of an Opportunity Zone development which will provide bunkering services to commercial shipping.
Represents a purchaser/developer in connection with the acquisition and redevelopment of a luxury hotel resort located in the Virgin Islands.
