Andica Kunst has represented both private and publicly-traded companies in a wide range of business and legal matters, including mergers and acquisitions, joint ventures, securities regulation and general corporate issues.  Ms. Kunst has advised companies in a variety of industries, ranging from personal care and luxury good manufacturers to investment banks, software developers and biotech research firms.  Her tenure as general counsel of the 4 largest New York Stock Exchange specialist firm has given Ms. Kunst a special insight and appreciation of the operational side of clients’ businesses and the importance of an outcome-focused approach.  Over the years, Ms. Kunst has contributed her time and expertise to a number of non-profit organizations, including the Intrepid Sea, Air & Space Museum in New York City and Energy-Up!, a obesity-intervention, diabetes-prevention program conducted in all-girl schools in New York City.  She currently serves on the Board of Marble House Project, a multi-disciplinary artist residency program with a focus on conservation and sustainability.

REPRESENTATIVE EXPERIENCE

  • Represent foreign entity in setting up money transmitter business in the USA.
  • Acquired and integrated 4 NYSE specialist firms to create 4th largest NYSE specialist firm.
  • Strategic planning and implementation of direct listing of foreign company on Stockholm Stock Exchange.
  • Stabilized commercial real estate portfolio through renegotiation of loans and aggressive leasing program.
  • Represented broker-dealer in negotiation of exclusive Placement Agent agreement for an open-ended real estate investment fund, which raised almost $1 billion in its first financing round.
  • Represented family-owned business in sale of food business to international conglomerate.
  • Counseled closely-held aviation services business in sale to foreign private equity fund.
  • Formed, organized and registered numerous broker-dealers and registered investment advisors with SEC and state regulatory authorities.
  • Frequent counsel to companies in all stages of private placement process, including drafting private placement memoranda and related SEC and state regulatory filings.
  • Representation of companies in a broad range of corporate matters, including shareholders, indemnification, distribution, licensing, mergers and acquisitions, purchase and sale, and investment agreements.
